1. Acceptance of Terms

By accessing or using Nexus ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Nexus is an AI-powered enterprise team collaboration platform that provides workspace management, real-time messaging, channel-based communication, direct messaging, and AI-assisted features including message drafting, summarization, and smart replies. The Service is provided as a web application accessible through modern web browsers.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You may register using an email address and password, or by authenticating through Google OAuth. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information remains accurate and up-to-date

You must be at least 13 years of age to create an account and use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Upload, share, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Use the Service to send spam, unsolicited messages, or automated bulk communications
  • Upload malicious code, viruses, or any other harmful software
  • Scrape, crawl, or use automated means to access the Service without our prior written consent
  • Use the AI features to generate content that is harmful, misleading, or violates any applicable laws

5. User Content

You retain ownership of all content you create, upload, or share through the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of operating and providing the Service to you and other workspace members.

You are solely responsible for your User Content and represent that you have all necessary rights to share it. We do not endorse or assume liability for any User Content.

6. AI Features

The Service includes AI-powered features that assist with communication and collaboration tasks. You acknowledge and agree that:

  • AI-generated content is provided as a suggestion and may not always be accurate or appropriate
  • You are responsible for reviewing and editing any AI-generated content before sending or sharing it
  • AI features process your content in real-time to generate responses; this processing is subject to our Privacy Policy
  • We do not guarantee the availability or accuracy of AI features

7. Workspaces and Collaboration

The Service allows users to create and join workspaces for team collaboration. Workspace administrators may have additional capabilities including managing members, channels, and workspace settings. Content shared within a workspace is accessible to its members according to the workspace and channel permissions.

8. Third-Party Authentication

The Service supports authentication through Google OAuth. By choosing to authenticate with Google, you authorize us to access your basic profile information (name, email address, and profile picture) as described in our Privacy Policy. Your use of Google's services is governed by Google's own Terms of Service and Privacy Policy. You may revoke Nexus's access to your Google account at any time through your Google Account settings.

9. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Nexus and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXUS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
